Limiting Liability Webinar Programme – Principles

13th June 2017, 1:00 pm - 2:00 pm

This first part of our interactive two-part webinar programme recaps the principles of limiting liability in a contract.

Limiting Liability

Any party to a commercial contract will be concerned to ensure that the anticipated benefits of the contract are not outweighed by the potential risks and so will seek to limit its contractual liabilities in a manner that achieves a sensible balance between risk and reward. But provisions limiting liability are probably those which are most heavily regulated and discussed at the greatest length, and in the welter of “what if …” scenarios it is easy to lose sight of the basic principles and the parties’ objectives.

How should limitations on liability best be structured to both achieve your own business objectives and secure the performance you expect from the other party? In these webinars, we look at some of the key issues in structuring and negotiating liability provisions.

This webinar on focuses on the principles of limiting liability including:

  • The regulatory framework: what liabilities can and cannot be excluded, and when does the ‘reasonableness’ test apply?
  • What are direct loss, indirect loss, and consequential loss?
  • Are unlimited liabilities ever commercially acceptable?
  • What is the impact of limitation clauses on pre-contract representations, contract warranties, and indemnities?

The webinar will be presented by Jonathan Riley, Tim Ryan, Joanna Memery and Sophia Costley and will feature an interactive Q&A session where you can submit any questions for discussion by the presenters.

Date: 13th June 2017

Time: 1 PM – 2 PM (BST)

Registration: Please register using the booking form below. Joining instructions will be emailed to you nearer the date.

Please note that this is the first part of our two-part webinar programme on Limiting Liability. Part 2 on 20th June reviews practical examples in sample clauses and case studies, and further information can be found here.
