Memery Crystal Advises New Client King of Shaves on Demerger from Knowledge and Merchandising Inc.

Memery Crystal LLP has advised new client The King of Shaves Company Limited ("King of Shaves") on its three-cornered demerger from parent company Knowledge and Merchandising Inc. Limited ("KMI").

The demerger will position UK-based King of Shaves to accelerate retail sales and establish itself as a global contender in men's grooming, while enabling KMI to continue its focus on UK markets. The King of Shaves Company Ltd. will be headed by Founder & CEO, Will King. KMI will be headed by Hiten Dayal, King's business partner.

Created in 1993 in Will King's kitchen, King of Shaves is now the second most popular shaving preparations brand in the UK, with a powerful retail presence throughout the country, as well as in Australia and New Zealand.  In 2008, King of Shaves successfully launched its Azor brand, a British designed and manufactured razor and the fastest growing system razor in the UK.

Founded in 1993, KMI has evolved into the UK's largest owner or licensor of premium mass FMCG toiletries and fine fragrance brands.  KMI's portfolio is comprised of 15 successful brands, including licensing deals for Ted Baker fragrances and Fish and Angelfish hair products.

The Memery Crystal team was led by corporate partner Lesley Gregory with corporate associate David Walker and corporate assistant Shantanu Sinha.

Lesley Gregory commented:  "We are delighted to have assisted King of Shaves with this important transaction, which will enable the company to maximise its opportunities for growth.  It is exciting to work with a UK company with such a bright future in the global marketplace, and we are proud to be a part of its team."
